The following terms and conditions govern your access to and use of https://cofellow.com/ (referred to as the Website or Platform), including any content, functionality, and services offered on or through the Website, as well as any documents expressly incorporated by reference (collectively: Terms of Use).
You should read the entire Terms of Service because this document (not this summary) is a legally binding agreement between us.
Summary
You agree to adhere to fundamental guidelines during your use of the Platform. Our agreements are within these Terms of Service, with the corresponding policies and terms presented below. Please note that these rules may be subject to modifications.
The Agreement
Cofellow allows you and other members to post content and organize offline, real-world groups and events. Cofellow and our corporate parent, affiliates, or subsidiaries are identified here as Cofellow, We, Us, and Our. We use the terms You and Your to refer to any person who uses our Platform, any organization, or person who uses the Platform on behalf of an organization. Use of the word Platform pertains to any website, application, or service offered by Cofellow, encompassing contents and electronic communications.
You bear full responsibility for your data, encompassing any information or materials you post on our Platform. You must adhere to our Terms of Service, which include the Usage and Content Policies, Groups and Events Policies, and Trademark Usage Guidelines. Your access to our Platform is contingent upon complying with these Terms of Service. This collection of documents, including our Usage and Content Policies, Groups and Events Policies, Organizer and Member Restrictions, Trademark Usage Guidelines, and API License Terms, constitutes the overall Terms of Service and Agreement.
By using the Platform, you indicate your acceptance of our terms, even if you're using the Platform on behalf of an organization. You confirm your organization's acceptance of this Agreement and assert your legal authority to ensure the organization's compliance with the terms specified in this Agreement. If you do not concur with or can not consent to our terms, please refrain from using our Platform.
Changes to this Agreement
We retain the authority to modify our Terms of Service at any time. In doing so, we will inform you by updating the latest version and adjusting the date at the top of this page. Should we introduce significant alterations to these terms, we will provide you with advance notice, such as sending an email or displaying a prominent notification on our Platform. Your continued use of the Platform following any modifications indicates your acceptance of the updated terms. If you do not wish to adhere to the revised terms, you may choose to close your account.
Your Membership and Account
To use our Platform, you must be at least 13 years old.
Our organizers have complete control over the contents and membership of their Cofellow groups.
However, we reserve the right to remove any Content you post or terminate your account as we see fit.
Eligibility
Anyone over the age of 13 is welcome to use our Platform.
You represent that you are at least 13 years old. Any member eligible to moderate or manage a specific portion of our Platform may set additional eligibility requirements for that portion of our Platform. The organizer(s) of a group or event may establish the eligibility requirements for that group or event.
Account Modification, Suspension, and Termination
We may modify, suspend, or terminate your account or access to the Platform if we determine, in our sole discretion, that you have violated these terms, including any of its policies or guidelines, and that it is in the best interests of the community, or that it is necessary to protect our Platform. We may or may not notify you of the reasons for the modification, suspension, or termination. We may also close accounts of members who have remained inactive for an extended period. Account Security and Information
Upon registration, you furnish essential data, including your email address and password. It is crucial to ensure the accuracy of your email address and other details that you commit to safeguarding the security and confidentiality of your password. To avoid unauthorized access to your account, we strongly advise you to choose a strong and unique password you are not using on your other accounts or online services. You are solely liable for any consequences resulting from failure to maintain security and confidentiality, such as sharing your account credentials with others. Platform and Services License
Cofellow grants you a limited, non-exclusive, revocable, non-sublicensable, non-transferable right to use the Platform to access and use the services and features that we make available to you, subject to your compliance with these Terms.
Content and Privacy
You bear full responsibility for materials you post on our Platform or transmit to us. By posting or sending such materials, you permit us to utilize them for the operation, enhancement, promotion, and safeguarding of Cofellow and our Platform. Our Privacy Policy provides a comprehensive explanation of how we collect and utilize the data you provide about yourself, as well as any data associated with you. This policy also outlines the specific contexts in which we may share this data.
Your Content
You are solely responsible for the materials that you post to the Platform or provide to Cofellow in any other way. We categorize Data as any information, material, or data you post on the Platform or transmit to us. For instance, this encompasses information regarding groups and events, topics, posts, comments, photos, and any feedback, suggestions, or other communications directed to Cofellow.
By accepting responsibility for your data, you agree that you have all of the permissions, rights, and licenses required (including under copyright, trademarks, contract rights, privacy rights, or publicity rights) to provide the data to the Platform and Cofellow; your data does not include personal, private, or confidential information belonging to others; and your data does not otherwise violate the rights of any individual or entity. You also agree that you and your data will abide by the terms of service.
Content license
We do not assert ownership over your materials. However, for the smooth operation, enhancement, promotion, and safeguarding of Cofellow, and to ensure no infringement upon any rights you possess in your materials, you agree to provide Cofellow with a non-exclusive, global, perpetual, irrevocable, royalty-free, sublicensable, transferable right and license (including a waiver of any moral rights) to use, host, store, reproduce, modify, publish, publicly display, publicly perform, distribute and this license permits your data to remain on the Platform even after you departed from it.
Privacy
Through our Platform, Cofellow collects registration and other information about you. Please see our Privacy and Cookie Policies for more details on how we collect, use, and disclose this information. These policies do not govern the use of information you provide to third parties, such as organizers and other Platform members. Cofellow has no control over how other members use the data you provide to others, so use caution and good judgment when sharing information with others through our Platform.
Use of Our Platform
In summary, when using our Platform, we expect you to adhere to our policies and guidelines. We accept no responsibility for any Content posted on our Platform.
Our Policies, Guidelines, and Relevant Laws
We require that you follow the Usage and Content Policies, Topics, Groups and Events Policies, Organizer, Member Restrictions, Payment Policies, Trademark Usage Guidelines, and API License Terms when using our Platform. Users also agree to follow all applicable laws, rules, and regulations, as well as not to violate or infringe on the rights of any third party. Furthermore, your access to and use of certain areas or features of the Platform may be governed by additional terms, policies, standards, or guidelines.
You may well be required to agree to Additional Terms before you can gain access to our Platform areas and features. If the Terms of Service and the Additional Terms conflict, additional terms will govern your access to and use of that Platform area or features—unless otherwise indicated in the Additional Terms. When the Platform uses third-party services to provide specific features and services to our members, our members may be obligated to adhere to the terms of service that apply to these features and services. If you do not comply, we may, in our sole discretion, modify, suspend, or terminate your account or access to the Platform, and we will notify you of the reason for the modification, suspension, or termination.
Content of Others
We do not have any control over the information of other members. We reserve the right to investigate and take appropriate action when we become aware of inappropriate material on our Platform. However, we are not obligated to monitor or assume responsibility for the materials posted by other members.
Interactions with Other People
Any offline arrangements made through our Platform are not binding on us. Cofellow neither conducts nor requires members' background checks, nor do we attempt to verify the truth or accuracy of statements made by members. We make no representations or warranties about members' conduct, materials, or interactions with you.
The Platform Prohibited Uses
Our Platform contains confidential and proprietary information protected by intellectual property and other laws.
You agree that you will not, either directly or indirectly:
(a) Use, host, store, reproduce, modify, publish, publicly display, publicly perform, distribute, or create derivative works of the Platform or any portion of the Platform;
(b) Remove or alter the proprietary notices on the Platform; or
(c) Reverse engineer, disassemble, decompile, or attempt to discover the source code or structure, sequence, and organization of the Platform. You also agree not to use the Platform to solicit or collect personal data from others, except as required for the administration or participation in a group or event, or (ii) sensitive personal data, as defined or treated as such under applicable law (including, by way of example only, health information and social security numbers and other government identifiers). Furthermore, you agree to abide by your local jurisdiction's export control laws. You affirm you are not in a country subject to a government embargo, designated as a terrorist-supporting country, or listed as prohibited or restricted by any governing authority.
Platform security and safety
You agree not to (a) extract data from the Platform for a commercial purpose not permitted by these Terms of Service, whether using an automated system or software operated by a third party or otherwise (screen scraping, data scraping, or web scraping); or (b) engage in any activity that interferes with or disrupts, is designed to interfere with or disrupt, or imposes undue burdens on the Platform.
You concur to use, retain, and process personal data collected from the Platform under applicable laws, rules, and regulations and solely to administer and participate in groups and events. Without limitation, you agree to provide individuals with a notice about your processing of personal information, obtain any necessary consent, and respond to individual requests as required by applicable law. You also agree to keep such information secure from unauthorized access or processing. You must delete such personal data once it is no longer strictly necessary for the administration of a group or event or as soon as Cofellow requests it, and you must certify such deletion
Third-Parties
Cofellow contains links to third-party sites, and it's integrated with various third-party services, applications, and websites that make their content and products available to you. We lack control over these third parties and bear no responsibility for their sites, services, content, or products. These third parties may have terms and policies that govern your usage of their services. Merely accessing this Platform does not provide you with a license to utilize the intellectual property owned by these third parties.
Platform Modifications
As part of our ongoing efforts to enhance our Platform, we retain the right to modify or discontinue aspects or the entirety of our Platform at any time, with or without prior notification, and without incurring any liability to you or any third party.
Release
To the fullest extent permitted by applicable law, you agree to release us and our officers, directors, shareholders, agents, employees, consultants, corporate parent, affiliates, subsidiaries, sponsors, and other third-party partners from any claims, demands, and damages (direct and consequential) arising out of or in any way connected with any transaction with a third party, your interactions with other members, or a Topic, a group, or an event ("Claims"). You acknowledge that some events or group participation involve inherent risks, such as illness, bodily harm, disability, or death. You understand and agree that by participating in these events or groups, you have freely chosen to assume these potential dangers.
Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold all Cofellow Parties harmless from any Claims made by any third party as a result of or arising from;
(a) your violations of this Terms;
(b) your use, misuse, or abuse of our Platform;
(c) your materials;
(d) your violation of any law, statute, ordinance, regulation, or the rights of a third party, or;
(e) your participation or conduct in a group or an event.
You agree to promptly notify us of any third-party Claims, to cooperate with all Parties in defending such Claims, and to pay all fees, costs, and expenses associated with such Claims (including, but not limited to, attorneys' fees).
Intellectual Property
If you use Cofellow's trademark, please adhere to our Trademark Usage Guidelines. Also, do not violate anyone's intellectual property. If you believe your intellectual property is being infringed somewhere on the Platform, please follow the procedures in our Intellectual Property Dispute Policies.
Cofellow's intellectual property
Cofellow's intellectual property includes trademarks, logos, service marks, and service names. Our Trademark Usage Guidelines explain how and when you may and may not use our trademarks. Cofellow, including materials on it, is also intellectual property owned by us or our licensors.
You agree not to use our intellectual property without prior written consent, except as described in the Trademark Usage Guidelines.
Others' Intellectual Property
Cofellow respects other people's intellectual property, and we expect our members to respect them. We may delete or deactivate access to material that we believe may infringe on the intellectual property rights of others in appropriate circumstances and at our discretion. We may also restrict or discontinue access to Cofellow for individuals who are repeat infringers. If you suspect a violation of intellectual property rights, please consult our Intellectual Property Dispute Policies for guidance.
Disclaimer of Warranties and Limitation of Liability
Warranty Disclaimer
Cofellow is accessible to you on an "as is" and "as available" basis. We disclaim all warranties and conditions of any nature, including statutory and implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permissible under applicable law.
We also make no warranties regarding,
(a) The reliability, timeliness, accuracy, and performance of Cofellow.
(b) Any information, advice, services, or products obtained through or advertised on Cofellow.
(c) Information or advice obtained through links to external websites or resources provided through Cofellow.
(d) The results derived from using Cofellow.
(e) The correction of any errors on Cofellow.
(f) Any material or data acquired through Cofellow.
(g) Transactions or interactions resulting from the presence of marketing partners or other third parties on Cofellow.
Please be aware that the laws of your country of residence may grant you additional rights. However, you acknowledge that the extent of these extra rights is limited to the definition of the relevant laws.
Liability Restrictions
To the fullest extent permitted by applicable law, you agree that Cofellow will not be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with (a) our Platform or this Agreement or the inability to use Cofellow (however arising, including our negligence), (b) statements or conduct of or transacting with you.
Dispute Resolution
In the event of a disagreement with Cofellow, you commit to attempting to resolve the matter directly with us in the first instance. If we cannot reach an agreement, you must, with limited exceptions, submit any dispute with us to a neutral arbitrator rather than bringing the claim to a court of law. Claims must be filed individually, not as part of a class action. Members based in the European Union may have additional or different rights depending on the law in force. Cofellow is under no obligation to get involved in any disputes you have with other members, though we may try to help you resolve them.
Waiver of Class Action
You agree to settle any disagreements with Cofellow on an individual basis. You agree not to file a claim in a class, consolidated, or representative action as a claimant or a class member. You expressly waive your right to participate in class actions, class arbitration, private attorney general actions, and consolidation with other arbitration proceedings.
Entire Agreement
The Terms of Use, our Privacy Policy, and any licensing agreement you enter into with Cofellow constitute the sole and entire Agreement between you and Cofellow concerning the Platform /or services available on Cofellow and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, for this Platform Term of Use.
